Terms of Service
01 Acceptance of Terms
By accessing or using LoadMark ("the Service") at loadmark.tech, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations. If you do not agree with any part of these Terms, you may not use the Service. These Terms constitute a binding agreement between you and Loadmark LLC.
02 Description of Service
LoadMark is a computational engineering aid for transformer thermal modeling. Calculations are based on IEEE C57.91-2011 (IEEE Guide for Loading Mineral-Oil-Immersed Transformers and Step-Voltage Regulators).
LoadMark is NOT a licensed engineering service. The Service provides numerical outputs for informational and engineering-reference purposes only. Nothing in the Service constitutes professional engineering advice, and no engineer-client relationship is created by your use of the Service.
03 Engineering Disclaimer
Results generated by LoadMark are for reference purposes only. ALL relay settings, protection parameters, and thermal limits derived from or informed by LoadMark must be independently verified by a qualified, licensed engineer before being programmed into protective relay equipment or applied in any operational context.
Loadmark LLC expressly assumes no liability for relay misoperation, equipment damage, power outages, fire, personal injury, property damage, or any direct, indirect, incidental, consequential, or punitive damages of any kind resulting from reliance on calculations, outputs, or recommendations produced by the Service.
The accuracy of outputs depends entirely on the quality and accuracy of input data provided by the user. Loadmark LLC makes no warranty that outputs will be free from error.
04 Intellectual Property
The LoadMark application, including its source code, algorithms, interface design, and documentation, is owned by Loadmark LLC and is protected by applicable intellectual property laws. You may not copy, reproduce, modify, distribute, or create derivative works based on the Service without express written permission from Loadmark LLC.
You retain full ownership of all transformer data, job configurations, and other input data you upload to the Service. By uploading data, you grant Loadmark LLC a limited, non-exclusive license to process that data solely for the purpose of providing the Service to you.
05 Third-Party Disclaimer
LoadMark is an independent product developed and operated by Loadmark LLC. LoadMark is NOT affiliated with, endorsed by, sponsored by, or in any way connected to Schweitzer Engineering Laboratories (SEL), GE Grid Solutions, ABB, Beckwith Electric, or any other relay manufacturer or power systems equipment company.
References to relay manufacturers, relay model numbers, or relay product names within the Service are used solely to describe functional compatibility or configuration context. Such references do not imply any commercial relationship, official approval, or certification by those manufacturers.
06 User Accounts
You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify Loadmark LLC immediately at support@loadmark.tech upon becoming aware of any unauthorized access to or use of your account.
Loadmark LLC is not liable for any loss or damage arising from your failure to maintain account security, or from unauthorized access to your account.
07 Subscription & Billing
LoadMark offers the following service tiers:
Free Tier: Available at no charge with limited features as described on the pricing page.
Pro and Enterprise Tiers: Billed on a monthly basis. Subscription fees are charged at the beginning of each billing period. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that date.
No refunds are provided for partial months or unused portions of a billing period. Loadmark LLC reserves the right to modify pricing with reasonable advance notice.
08 Limitation of Liability
To the maximum extent permitted by applicable law, Loadmark LLC's total cumulative liability to you for any claims arising out of or related to these Terms or the Service — regardless of the form of action — shall not exceed the total fees paid by you to Loadmark LLC in the three (3) calendar months immediately preceding the event giving rise to the claim.
In no event shall Loadmark LLC be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to loss of profits, loss of data, business interruption, equipment damage, or personal injury, even if advised of the possibility of such damages.
09 Indemnification
You agree to indemnify, defend, and hold harmless Loadmark LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
10 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Georgia, United States, without regard to its conflict of law provisions. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Georgia.
11 Changes to Terms
Loadmark LLC reserves the right to update or modify these Terms at any time. When material changes are made, we will provide at least thirty (30) days' notice by posting the updated Terms on this page and, where applicable, notifying you by email. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of those changes.
